These Terms of Service ("Terms") govern access to and use of Porta, including Porta Dashboard, Porta Frontline, Porta websites, APIs and related support services. Porta is provided by Leapa Systems Limited ("Leapa", "we", "us" or "our").
The customer ("Customer") is the individual or organisation accepting these Terms and using Porta. A person acting for an organisation must be authorised to accept these Terms on its behalf. Mandatory consumer rights remain protected, including for individuals organising personal events.
1. Porta service
Porta supports business, organisational and personal events. Initial public commercial availability is limited to Hong Kong, Singapore, Australia and New Zealand. Public registration and purchases are available only when enabled on the website; an App Store listing alone does not establish commercial availability.
Porta Essential is a service plan for Porta, not a separate application. One purchase covers one Event with up to five consecutive calendar days, one shared attendance record per Guest, up to 1,000 Guest records including walk-ins, and unlimited check-in stations (iPads) for ordinary event use. Unnamed companions do not consume separate Guest records. Separate guest lists or daily attendance resets require separate Events and purchases. Security and abuse controls still apply; the service must not be deliberately overloaded.
Free preparation does not activate real-event check-in. An Account may prepare one unpaid Event at a time alongside its paid Events, importing a guest list or adding Guests individually. Staff Access and real-event attendance controls require an activated plan. The separate Demo uses fictional practice data; it is not an entitlement to run a real event.
Porta Frontline will be free to download when its public App Store listing is available. Use of the app requires an Event Staff Access credential issued by an authorised organiser using Porta. Any Porta service fees are agreed directly between Leapa and the Customer through the website, an order, quotation or other commercial agreement. Porta Frontline does not offer purchases, subscriptions or upgrades.
2. Service documents and order of precedence
The Customer's Porta service may also be governed by an accepted quotation, order form, service description, data-processing terms or other signed agreement. If there is a conflict, a signed agreement or accepted order takes priority over these Terms for the subject it expressly covers.
Apple's standard Licensed Application End User License Agreement applies to the copy of Porta Frontline obtained through the App Store unless Leapa and Apple make another applicable licence available. Apple is not a party to the Customer's Porta service agreement and is not responsible for operating or supporting Porta.
3. Customer accounts and authorised access
Leapa may provision an account for the Customer and its nominated owner. The Customer may also register through verified public signup when it is enabled. The Account Owner controls purchases and financial records; Managers have operational access but cannot purchase plans or view payment details. The Customer must:
- provide accurate account and contact information;
- limit access to authorised personnel;
- protect organiser email accounts, one-time codes, Staff Access credentials and authorised iPads;
- assign clear station names that do not unnecessarily disclose personal data;
- promptly remove access or contact Leapa after suspected compromise;
- remain responsible for activity performed through its account and Event Staff Access, except to the extent caused by Leapa's breach.
Staff Access is an event-scoped operational credential. It is not transferable between customers, an App Store purchase, a voucher or a consumer licence key.
4. Permitted use
The Customer may use Porta to create and manage its events, import and maintain guest information, authorise event devices, operate attendance check-in and export its event records during the agreed service period.
The Customer must not, and must not allow another person to:
- access another customer's account, event or data;
- share credentials outside the authorised event team;
- probe, disrupt, overload, bypass or defeat Porta's security or access controls;
- introduce malware or use Porta for unlawful, fraudulent, abusive or harmful activity;
- reverse engineer Porta except to the limited extent a law expressly permits and does not allow that restriction;
- resell, sublicense or provide Porta as a service bureau without Leapa's written approval;
- remove proprietary notices or misrepresent affiliation with Leapa;
- upload content the Customer has no right or lawful basis to use.
5. Customer and guest data
The Customer retains its rights in information it supplies to Porta. The Customer instructs Leapa to host, process, transmit, back up and otherwise use that information as necessary to provide, secure and support Porta.
The Customer is responsible for:
- deciding what guest data is necessary for its event;
- collecting and using guest data lawfully, fairly and transparently;
- giving guests any required privacy notice and obtaining any required consent;
- keeping guest data accurate and avoiding excessive or irrelevant data;
- responding to guest requests and instructing Leapa where assistance is needed;
- not entering sensitive data into free-text or custom fields unless necessary, lawful and appropriately protected;
- ensuring its exports and downloaded files are stored and shared securely.
Leapa will use Customer and guest data only to provide and protect Porta, follow lawful Customer instructions, comply with law and exercise legal rights, as described in the Porta Privacy Policy.
6. Offline operation and devices
Porta Frontline is designed to keep a prepared event available on an authorised iPad during a temporary network interruption. Offline changes are queued and are reconciled when the device reconnects. The server and Porta Dashboard are authoritative when an offline device conflicts with a newer organiser or server decision. For commercial Events, new check-in stops at the scheduled Event end. Valid Guest additions, edits and check-ins recorded offline before that end must reach the server by the end of the seventh calendar day after the Event-end date, in the saved Event timezone. For example, an Event ending on 1 October has a sync deadline at the end of 8 October, not the beginning of that date.
Reconnect every Event iPad and finish syncing before that deadline. Porta sends the Owner and Managers an Event-ended reminder and another reminder 24 hours before the cutoff. Ignoring a reminder does not extend the deadline. A failure of Porta to sync while properly connected is distinct from failing to reconnect. After the cutoff, normal uploads stop; Support correction access does not extend it. Rejected pending work remains on the iPad for safe retention or Owner-approved recovery review, not as a promise of late upload or acceptance.
The Customer must use suitable device passcodes, current security updates and reasonable physical controls. The Customer must synchronise pending work before removing Event access or erasing an iPad. Leapa is not responsible for data loss caused by erasing, losing, damaging or reassigning an iPad before pending changes have synchronised, except to the extent caused by Leapa's breach.
7. Event lifecycle and deletion
The following rules apply to Events under the commercial plan lifecycle. Existing pilot and separately agreed arrangements remain separate unless a reviewed migration is agreed; signup or this publication does not automatically convert them into new purchases or silently change their operational limits.
- Check-in is permitted only between the scheduled start and end. Devices may be prepared and synchronised beforehand. An Open status does not extend the check-in period.
- The Owner may change Event names and dates before the start, within the plan's limits. After the start, name corrections or exceptional postponements require Support approval and must preserve attendance history. An unused purchase must start by the end of its 12-month purchase-anniversary date in the saved Event timezone; exceptional extensions require Support approval. For a Complimentary Event, that anniversary is measured from when its allowance was applied.
- After Event end, authorised organisers may make audited Dashboard Guest-detail and attendance-figure corrections through the end of Day 7, on the same calendar deadline as offline uploads. No new check-ins or changing or backdating check-in timestamps are allowed.
- After Day 7, exceptional Dashboard corrections require Support approval and end no later than the end of Day 30 after the Event-end date, in its timezone. After that cutoff the Event is Permanently Closed and cannot reopen. Permanent operational closure does not delete its history.
- Paid Event history remains available for viewing and export through the end of the 12-month Event-end anniversary date in its timezone. The Owner and Managers receive reminders 30 and 7 days before normal access ends. A 30-day recovery period follows before permanent deletion from the live service. Only the Owner may request Support-approved recovery, for up to 7 days of read-only viewing/export ending no later than the original deletion deadline. Recovery never restarts retention or check-in.
- An unpaid Event expires after 30 days without opening or editing it. Porta warns the Owner and Managers 7 days before deletion; the Account remains. Choosing Delete Event for a No Plan/unpaid Event permanently deletes it from the live service immediately and frees the unpaid slot. It does not enter Recently Deleted. An unresolved payment must be reconciled before deletion.
- Other manually deleted Events remain recoverable in Recently Deleted for 30 days before permanent deletion from the live service, subject to their applicable service arrangements. Protected backup copies expire separately under the Privacy Policy; live deletion does not erase every backup immediately.
The Customer should export any records it is required to retain before deletion, account closure or expiry of the agreed service period.
8. Payment and refunds
The website and saved order quote state the plan, selected currency, fixed price and any applicable checkout charges before payment. Currency prices are pre-set, not immediate exchange-rate conversions. Stripe handles hosted payment collection. Payment confirmation activates the Event entitlement; a browser return alone is not proof of payment. Keep the order and receipt for your records.
Porta's voluntary refund offer is a full refund requested within 7 days of purchase, before the Event starts and with no real check-ins. Every request is reviewed by Support, including abuse history; there is no hidden refund quota. For genuine postponements, rescheduling may be preferable. Approved refunds return funds to the original payment method and revoke the Event entitlement. Porta absorbs the applicable refund fees. These voluntary conditions do not limit mandatory statutory remedies, cancellation rights or consumer guarantees, including where Porta fails to provide the agreed service. No blanket waiver of those rights is required by these Terms.
Failure to pay an undisputed overdue amount may result in suspension after reasonable notice. Suspension does not remove the Customer's obligation to protect and lawfully manage exported or locally stored data.
9. Availability, changes and support
Porta may be unavailable during maintenance, network or provider incidents and events outside reasonable control. Leapa will use reasonable care to operate and secure the service but does not promise uninterrupted or error-free availability unless a signed agreement provides a service level.
Leapa may update Porta to improve security, compatibility or functionality. We will not intentionally remove a material paid function during an agreed service period without a reasonable substitute, notice or other remedy stated in the applicable agreement.
Support information is available at https://porta.events/support.
Standard support is by email, Monday to Friday, 10 am–6 pm Hong Kong time,
excluding Hong Kong public holidays. This is not a guarantee of instant or
on-site assistance. Hardware rental, local staffing and bespoke on-site services
are arranged separately with partners and are not included in the plan.
10. Intellectual property
Leapa and its licensors retain all rights in Porta, its software, designs, documentation, trademarks and service improvements. These Terms grant the Customer only a limited, non-exclusive, non-transferable right to use Porta during the applicable service period for its internal event operations.
If the Customer provides feedback, Leapa may use it to improve Porta without restricting the Customer's ownership of its data or confidential information.
11. Confidentiality
Each party must protect the other's non-public business, technical and security information with reasonable care and use it only for the relationship. This does not apply to information that is public without breach, already lawfully known, independently developed or lawfully received without restriction.
A party may disclose confidential information where required by law after giving notice when legally permitted.
12. Suspension and termination
Leapa may suspend affected access where reasonably necessary to address a security threat, unlawful use, material breach or risk to another customer. We will limit the suspension and give notice where reasonably possible.
Either party may terminate as stated in the applicable order or signed agreement. If no separate term applies, either party may terminate on 30 days' written notice, but termination does not cancel fees already committed for an agreed fixed service period.
On termination, the Customer's access ends. Leapa will make Customer data available for export for any period stated in the applicable agreement and then delete it under the Privacy Policy, subject to legal retention and backup rotation.
13. Warranties and disclaimers
Each party warrants that it has authority to enter into these Terms. Leapa warrants that it will provide Porta with reasonable care and skill.
Except for express commitments in these Terms or an applicable signed agreement, and to the maximum extent permitted by law, Porta is provided without implied warranties of merchantability, fitness for a particular purpose or non-infringement. Porta assists event operations but does not guarantee attendance, guest identity, admission entitlement, regulatory compliance or the accuracy of data supplied by the Customer.
14. Liability
Nothing in these Terms excludes liability that cannot lawfully be excluded, including liability for fraud or fraudulent misrepresentation.
Subject to that rule, neither party is liable for indirect, special or consequential loss, loss of profit, revenue, goodwill or anticipated savings. Leapa's total aggregate liability arising from Porta during a 12-month period will not exceed the fees paid or payable for Porta during that period, unless a signed agreement states another cap.
The limitations in this section apply only to the extent permitted by applicable law.
15. Indemnity
The Customer will indemnify Leapa against a third-party claim arising from the Customer's unlawful collection or use of guest data, content the Customer had no right to provide, or deliberate misuse of Porta, except to the extent the claim was caused by Leapa's breach.
16. General
Neither party may assign the agreement without the other's consent, except to an affiliate or as part of a genuine merger, reorganisation or sale of the relevant business, with written notice and continued protection of Customer data.
Neither party is liable for delay caused by circumstances beyond reasonable control, but payment obligations for services already supplied remain due.
If a provision is unenforceable, it will be limited to the minimum extent necessary and the remaining provisions continue. A delay in enforcing a right is not a waiver. These Terms and the applicable order or signed agreement form the entire agreement about their subject matter.
17. Governing law
These Terms are governed by the laws of the Hong Kong Special Administrative Region. The courts of Hong Kong have exclusive jurisdiction, unless an applicable signed agreement states otherwise. This choice does not remove mandatory protections or rights to bring proceedings in another forum where applicable consumer law gives the Customer those rights.
